Services

Nightious provides IT consulting, web design, AI integration, digital marketing, and related technology services to small businesses, content creators, and individuals.

  • Specific deliverables are defined per project in individual agreements or quotes
  • We reserve the right to modify our service offerings at any time
  • All services are delivered remotely unless otherwise agreed

Engagement Process

  • Services begin after mutual agreement on scope and pricing
  • We provide a clear written quote before work begins — no surprise fees
  • No long-term contracts are required unless specifically agreed upon

Payment Terms

  • One-off projects — flat fee, due upon completion or as agreed in the project quote
  • Retainer engagements — monthly billing on terms defined per agreement
  • All prices are quoted in US dollars (USD)

Intellectual Property

  • Work product created specifically for you becomes your property upon receipt of full payment
  • We retain the right to use general techniques, methodologies, and knowledge gained through our work
  • Pre-existing tools, frameworks, and templates developed by Nightious remain our property
  • Open-source components included in deliverables retain their original licenses

Client Responsibilities

To ensure a smooth engagement, you agree to:

  • Provide timely access to systems, accounts, content, and feedback as needed
  • Ensure you have the legal right to use any content, images, or materials you provide to us
  • Maintain backups of your existing systems before we begin any work

Limitation of Liability

  • Our liability is limited to the fees paid for the specific service in question
  • We are not liable for indirect, consequential, incidental, or punitive damages
  • We do not guarantee specific business outcomes such as increased traffic, leads, or revenue

Termination

  • Either party may end an engagement with reasonable written notice
  • You are responsible for payment of work completed up to the termination date
  • We will deliver all completed deliverables for work that has been paid

Warranties and Disclaimers

  • We warrant that our work will be performed professionally and with reasonable care and skill
  • We do not warrant uninterrupted or error-free operation of websites, applications, or systems
  • Third-party services such as hosting providers, domain registrars, and APIs are subject to their own terms and conditions — we are not responsible for their availability or performance

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, United States of America. Any disputes arising from these terms shall be subject to the jurisdiction of the courts of Pinellas County, Florida.

Changes to Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
